Terms of Service

Template — to be reviewed by Social Assembly’s legal adviser. This document is a working draft and may change before it is final.

Agreement

These terms are an agreement between you and [Company legal name — owner to supply] (“Social Assembly”, “we”, “us”), operating from South Africa. By creating an account or using the service, you accept them. If you do not accept them, do not use the service.

What the service is

Social Assembly is an AI coaching platform for content creators. It reviews videos and images you submit, coaches you in conversation, helps you plan content, and suggests ways to earn from your audience. Where you connect a social account, it also reads your analytics and can publish posts you schedule.

Coaching is guidance, not a guarantee

Everything the coach produces is AI-generated guidance. It can be wrong, incomplete, or unsuitable for your situation. It is not professional financial, legal, tax or business advice.

We do not guarantee any growth, reach, engagement, follower count, brand deal or income. Social media outcomes depend on platform algorithms, your audience, your execution and factors nobody controls. Decisions you make on the strength of our coaching remain yours.

Eligibility and your account

  • You must be at least 18 years old to use Social Assembly.
  • You must give accurate registration information and keep it current.
  • You are responsible for your account credentials and for everything done through your account.
  • Tell us promptly if you believe your account has been compromised.

Your content

You own what you upload. Videos, images, text and recordings you submit remain yours.

You grant us a limited, non-exclusive licence to process that content solely to provide the service to you — analysing it, generating your review, and where you ask us to, publishing it to a connected social account. That licence ends when you delete the content or your account.

We do not use your content to train AI models, and we do not publish or share it except as you direct.

You confirm that you have the rights to whatever you upload, including any music, footage or likeness appearing in it, and that it does not infringe anyone else’s rights.

Acceptable use

You may not:

  • Upload content that is unlawful, hateful, harassing, sexually explicit involving minors, or that infringes someone else's rights.
  • Use the service to generate content designed to deceive, defraud or impersonate.
  • Attempt to breach, probe or circumvent our security, rate limits or usage quotas.
  • Resell, sublicense or provide the service to third parties except under a plan that expressly permits it.
  • Use automated means to extract data from the service beyond normal use.

We may suspend or close accounts that breach these rules.

Third-party platforms

We are not affiliated with, endorsed by, or acting for Instagram, TikTok, YouTube, Meta or any other platform. When you connect an account or publish through us, you remain bound by that platform’s own terms, and you are responsible for complying with them.

Platform APIs change and can restrict or withdraw access at any time. Features that depend on them may change or stop working, through no fault of ours.

Plans, billing and cancellation

  • Paid plans are billed in South African rand through our payment provider, in advance, on a recurring basis until cancelled.
  • Each plan includes a monthly allowance of video audits. Allowances reset each billing period and do not roll over.
  • You can cancel at any time. Cancellation stops future billing; your plan stays active until the end of the period you have paid for.
  • Prices may change. We will give you notice before a change affects your subscription.
  • Except where South African consumer law requires otherwise, payments already made are non-refundable.

Availability

We aim to keep the service running but do not promise uninterrupted availability. It may be unavailable for maintenance, or because a provider we depend on — hosting, AI, payments or a social platform — is unavailable. The service is provided “as is”, without warranties beyond those that cannot be excluded by law.

Limitation of liability

To the fullest extent South African law allows, we are not liable for indirect or consequential loss, lost profits, lost income, lost followers or lost business opportunity arising from your use of the service.

Where liability cannot be excluded, our total liability is limited to the amount you paid us in the three months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, including under the Consumer Protection Act 68 of 2008.

Ending this agreement

You may stop using the service and delete your account at any time — see our data deletion page. We may suspend or close your account if you breach these terms, if required by law, or if we discontinue the service. If we discontinue it, we will give reasonable notice and a pro-rata refund of any period you have paid for and cannot use.

Governing law

These terms are governed by the law of the Republic of South Africa, and the South African courts have jurisdiction.

Changes

We may update these terms as the product changes. The revised version will appear here with a new effective date, and material changes will be notified in the app or by email. Continuing to use the service after that means you accept the update.
